Last Updated: October 5, 2026
These Chrome Extension Terms of Use ("Extension Terms") govern installation of, access to, and use of the Orcaworks Chrome Extension ("Extension") provided by Orcaworks Inc., a Delaware corporation ("Orcaworks," "we," "us," or "our").
These Extension Terms supplement the Orcaworks Terms of Use and any applicable customer agreement.
By installing, accessing, or using the Extension, you agree to these Extension Terms.
1. Extension Services
The Extension is provided as part of the Orcaworks Services and may enable authorized users to interact with webpages, business applications, information, artificial intelligence functionality, integrations, workflows, and automation features through their browser.
Available functionality may depend upon the customer's subscription, configuration, integrations, permissions, and Orcaworks Services.
2. Authorized Use
You may use the Extension only:

- Through an account you are authorized to use;
- On systems, applications, webpages, and information you are authorized to access;

- Ensuring use of the Extension complies with their organization's policies and agreements.
4. Prohibited Use
You may not use the Extension to:
- Gain unauthorized access to information, systems, accounts, or applications;
- Circumvent authentication, access controls, or other security protections;
- Collect, access, transmit, or process information unlawfully;

5. Browser Permissions
The Extension may request browser permissions reasonably necessary to provide its disclosed functionality.
Users acknowledge that certain Extension functionality may not operate if required permissions are disabled, revoked, or unavailable.
Permissions must not be interpreted as authorization for a user to access information that the user is otherwise prohibited from accessing.
6. Customer Data
Customers retain their rights in Customer Data processed through the Extension.
Customers grant Orcaworks rights reasonably necessary to access, process, transmit, and otherwise use Customer Data to provide authorized Extension functionality and the Orcaworks Services.
Customers are responsible for ensuring they have the authority and lawful basis necessary to make such information available for processing.
7. Artificial Intelligence and Automated Actions
The Extension may use Orcaworks AI and automation technologies to process information and perform customer-authorized workflows.
AI-generated outputs and automated actions may contain errors or produce unexpected results.
Users are responsible for reviewing outputs and maintaining appropriate human oversight, particularly where an output or automated action could materially affect legal rights, employment, finances, healthcare, safety, compliance, or other consequential matters.
8. Privacy
Information processed through the Extension is subject to the Orcaworks Chrome Extension Privacy Notice and, where applicable, the Orcaworks Privacy Policy.
Customers remain responsible for providing legally required notices, obtaining required permissions or consents, and establishing an appropriate lawful basis for information they make available through the Extension.
9. Third-Party Applications and Websites
The Extension may interact with third-party websites, applications, APIs, platforms, and services.
Third-party services are governed by their own terms, policies, permissions, and availability.
Orcaworks is not responsible for independent third-party services except as expressly provided in a written agreement.
10. Intellectual Property
The Extension and its related software, interfaces, designs, workflows, technology, documentation, trademarks, and other Orcaworks materials are owned by or licensed to Orcaworks and protected by applicable intellectual property laws.
Installation or use of the Extension does not transfer ownership of Orcaworks intellectual property.
11. Updates and Changes
Orcaworks may update, modify, replace, or discontinue Extension features from time to time.
Updates may change functionality or permissions where reasonably necessary to provide or improve the Extension. Material changes will be disclosed as appropriate and required by applicable law or platform requirements.
12. Suspension and Termination
Orcaworks may suspend or restrict access to the Extension where reasonably necessary because of:
- Material violations of these Extension Terms;
- Security threats;
- Suspected unauthorized access;
- Unlawful or abusive use;
- Nonpayment where applicable;
- Legal or regulatory requirements; or
- Circumstances permitted under an applicable customer agreement.
Users may stop using and uninstall the Extension at any time, subject to applicable customer agreements.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE EXTENSION IS PROVIDED "AS IS" AND "AS AVAILABLE," EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT.
ORCAWORKS DOES NOT WARRANT THAT THE EXTENSION WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT AI OUTPUTS OR AUTOMATED ACTIONS WILL ALWAYS BE COMPLETE OR ACCURATE.
14. Limitation of Liability
The disclaimers and limitations of liability contained in the Orcaworks Terms of Use and any applicable customer agreement apply to use of the Extension.
15. Relationship to Other Agreements
These Extension Terms supplement the Orcaworks Terms of Use.
If a customer has entered into an MSA, SOW, Order Form, Data Processing Agreement, or other written agreement with Orcaworks, that agreement will control to the extent of a conflict concerning matters specifically addressed by that agreement.
For matters specifically concerning use of the Chrome Extension, these Extension Terms provide additional requirements applicable to the Extension.
16. Governing Law
These Extension Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Any dispute not governed by a separately executed agreement will be subject to the exclusive jurisdiction of the appropriate state or federal courts located in Delaware, unless applicable law requires otherwise.
17. Changes to These Terms
Orcaworks may periodically update these Extension Terms to reflect changes to the Extension, technology, business practices, or legal requirements.
Continued use after updated Extension Terms become effective constitutes acceptance to the extent permitted by law.
